(collectively, the “Services”). The Website is designed to provide information about Be a Farmer’s franchise opportunity and to facilitate inquiries from prospective franchisees. 1. WHO MAY USE THE SERVICES

A franchise relationship will only be established upon execution of a written Franchise Agreement and

satisfaction of all pre-closing conditions.

Nothing on the Website grants you any license to use our trademarks or intellectual property without our prior written consent.

If you provide feedback, suggestions, or ideas about the Website or the Be a Farmer franchise system (“Feedback”), you assign all rights in such Feedback to Be a Farmer. We may use Feedback for any purpose without compensation or attribution to you.

7.3 DMCA Notice

If you believe content on the Website infringes your copyright, please send a notice to

hello@beafarmer.com including: (1) identification of the copyrighted work; (2) identification of the

allegedly infringing material and its location; (3) your contact information; (4) a statement of good faith

belief that the use is unauthorized; and (5) a statement under penalty of perjury that you are the copyright

owner or authorized to act on their behalf, along with your signature.

8. USER SUBMISSIONS AND TESTIMONIALS

If you submit testimonials, reviews, comments, photos, videos, or other content to the Website or to Be a Farmer via email or social media (“User Submissions”), you grant Be a Farmer a perpetual, irrevocable, worldwide, royalty-free, sub-licensable license to use, reproduce, modify, publish, and display such User Submissions for any lawful business purpose, including marketing and promotional materials, without compensation to you.

User Submissions must not include false or misleading statements, defamatory content, content that infringes third-party rights, or any content prohibited by applicable law. We reserve the right to remove any User Submission at our discretion. User Submissions do not represent the views or endorsement of Be a Farmer unless explicitly stated.

Note: Any testimonials or earnings representations made in connection with the franchise opportunity are subject to applicable FTC and franchise law disclosure requirements and will be accompanied by required substantiation.

NON-INFRINGEMENT. BE A FARMER DOES NOT WARRANT THAT THE WEBSITE WILL BE

UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

INFORMATION ABOUT THE FRANCHISE OPPORTUNITY, INCLUDING INVESTMENT COSTS,

PROJECTED REVENUES, AND OPERATIONAL SUPPORT, IS PROVIDED FOR GENERAL

INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE A GUARANTEE OR

REPRESENTATION OF FUTURE RESULTS. PROSPECTIVE FRANCHISEES SHOULD RELY SOLELY

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE A FARMER, LLC, ITS MEMBERS, OFFICERS,

EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT,

INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE

OF OR INABILITY TO USE THE WEBSITE, INCLUDING LOSS OF DATA, BUSINESS

OPPORTUNITIES, OR ANTICIPATED FRANCHISE PROFITS. IN NO EVENT SHALL BE A FARMER'S

TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

10.3 Indemnification

You agree to defend, indemnify, and hold harmless Be a Farmer and its affiliates, officers, members,

employees, and agents from and against any claims, losses, liabilities, damages, and expenses

(including reasonable attorneys’ fees) arising from: (a) your use of the Website; (b) your violation of these

Terms; (c) your violation of any third-party rights; or (d) any User Submission you provide.

11. ARBITRATION AND CLASS ACTION WAIVER

11.1 Informal Resolution First

Before initiating formal dispute resolution, you agree to contact Be a Farmer at hello@beafarmer.com and

make a good faith effort to resolve any dispute informally within 30 days of notice.

11.2 Binding Arbitration

After the informal resolution period, any remaining dispute, claim, or controversy arising from or relating to

the Website, these Terms, or the franchise opportunity described herein (a “Claim”) will be resolved by

binding arbitration administered by JAMS under its Comprehensive Arbitration Rules (“JAMS Rules”),

which are incorporated herein by reference. Arbitration will be conducted in English by a single arbitrator.

Judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.

CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE NOT

PERMITTED. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND

TO PARTICIPATE IN CLASS PROCEEDINGS.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of

competent jurisdiction. Claims qualifying for small claims court may be brought there on an individual

basis.

11.3 Arbitration Costs

JAMS filing and arbitration fees will be allocated per the JAMS Rules. For claims under $10,000, Be a

Farmer will pay reasonable JAMS fees unless the arbitrator determines the claim was frivolous.

11.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice within 30 days of first agreeing to

these Terms to: Be a Farmer, LLC, 2600 S. Oxford Street, Arlington, VA 22206. Your opt-out will not

affect any other provision of these Terms.

12. ADDITIONAL PROVISIONS

12.1 Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law

principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in

Arlington County, Virginia.

12.2 Franchise Law Compliance

Nothing in these Terms limits Be a Farmer's obligations under applicable federal and state franchise laws,

including the FTC Franchise Rule and any applicable state franchise registration and disclosure statutes.

In the event of a conflict between these Terms and applicable franchise law, franchise law controls.

12.3 Modifications to These Terms

We may update these Terms at any time. Material changes will be communicated via email or prominent

notice on the Website. The "Last Modified" date at the top of this page will always reflect the current

version. Continued use of the Website after changes take effect constitutes acceptance of the updated

Terms.

12.4 Termination

We may suspend or terminate your access to the Website at any time, for any reason, with or without

notice. Sections 6.2, 7, 8, 10, 11, and 12 survive termination.

12.5 Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. No

waiver of any term shall be deemed a continuing waiver of that or any other term.

12.6 Entire Agreement

These Terms (together with our Privacy Policy) constitute the entire agreement between you and Be a

Farmer regarding your use of the Website. They supersede all prior agreements and understandings

relating to the Website.

12.7 Assignment

Be a Farmer may assign these Terms without restriction. You may not assign your rights under these

Terms without our prior written consent.

12.8 Email Communications

By providing your email address through the Website, you consent to receive communications from Be a

Farmer related to your franchise inquiry. You may opt out of non-transactional emails at any time by

clicking "unsubscribe" or emailing hello@beafarmer.com.

12.9 SMS Opt-In Data

SMS messaging originator opt-in data and consent will not be shared with any third parties.
